These terms explain how we work, how deliverables are handled, and how our intellectual property is protected.
By accessing this website or engaging Arsenal Computing LLC for services, you agree to these Terms & Conditions.
Arsenal Computing provides software development, website development, business automation, and related consulting services. Exact deliverables, timelines, and scope are defined in written proposals or contracts.
All pre-existing and reusable Arsenal Computing intellectual property remains the sole property of Arsenal Computing LLC, including but not limited to source code, frameworks, libraries, templates, systems, methods, tooling, architecture, UI components, and development processes.
Unless a signed written contract explicitly states otherwise, all work delivered under any Monthly Standard plan, including all code, images, visual assets, and related implementation materials, is owned by Arsenal Computing LLC.
Any transfer of ownership to a client must be clearly stated in a signed contract. If ownership transfer language is not expressly included in writing, ownership remains with Arsenal Computing LLC.
Clients retain ownership of the content they provide to us (for example logos, brand files, and written materials), and grant Arsenal Computing a license to use such materials for project delivery.
Where ownership is not transferred by signed contract, Arsenal Computing may grant a limited, non-exclusive, non-transferable license for the client's internal/business use of approved deliverables, subject to compliance with these terms and all payment obligations.
You may not copy, resell, sublicense, reverse engineer, or redistribute Arsenal Computing intellectual property except where expressly authorized in a signed agreement.
Requested changes outside approved scope may require updated timelines, scope adjustments, or additional agreements.
Payment terms are defined in proposals, invoices, or contracts. Arsenal Computing may pause work or suspend access to hosted work products if required payments are overdue.
Each party agrees to keep non-public business and technical information confidential, except where disclosure is required by law.
Services and website materials are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, except where explicitly provided in a signed agreement.
To the maximum extent permitted by law, Arsenal Computing LLC is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption. Total liability is limited to the amount paid to Arsenal Computing for the specific services giving rise to the claim.
You agree to indemnify and hold Arsenal Computing LLC harmless from claims, damages, and expenses arising out of your misuse of services, content, or deliverables.
Either party may terminate services as allowed by the governing agreement. On termination, rights to use deliverables remain subject to ownership terms, license terms, and payment status.
These terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law rules.
We may update these Terms & Conditions from time to time. Updated terms will be posted on this page with a revised effective date.
